Terms of service
These terms apply to the website design, hosting and maintenance services offered by CPD Web Design. Please read them before signing up, and ask me first if anything isn't clear.
1. Who I am
CPD Web Design is run by Your Full Name.
- Address: Via Esempio 1, 00100 Roma (RM), Italia
- Email: hello@cpdwebdesign.com
2. How a contract is made
Prices on this site are for information. Before any work starts, I'll send you a written proposal setting out your plan, what's included and the expected launch date. The contract is made when you accept it in writing, by signing it or confirming by email. The proposal and these terms together form the contract. If they disagree, the proposal applies.
My services are for businesses and professionals. If you sign up as a consumer, for purposes outside your trade or profession, section 13 also applies.
3. Plans and prices
There's no charge to design and build your site. Instead you pay a monthly fee for your plan:
- One page: €14 a month
- Business: €49 a month
Prices exclude VAT, which is added where due. What each plan includes is listed on the home page and in your proposal. Work outside your plan, such as extra pages, an online shop, new features or a redesign, is quoted separately and only done once you've approved the quote.
4. Minimum term and cancelling
Each plan has a minimum term of 6 months, starting on the day your site goes live. This is how the cost of designing and building your site is covered.
After the minimum term your plan continues month to month, and you can cancel at any time with 30 days' notice by email.
If you cancel before the minimum term ends, the fees for the rest of the minimum term are still due.
I can end the contract with 30 days' notice after the minimum term, or straight away if you seriously breach these terms, for example by not paying after a reminder or by using the site for illegal content.
5. Payment
Monthly fees are invoiced in advance and paid by the method set out in your proposal, by the due date on the invoice.
If a payment is late, I'll send you a reminder. If it's still unpaid 15 days after the reminder, I may suspend the site until it's paid. Late payments between businesses accrue interest under Legislative Decree 231/2002.
6. Small changes and support
Your plan includes a set number of small changes each month, as listed in the plan. A small change is anything that takes up to about 30 minutes, such as updating text, prices, opening hours or photos. Unused changes don't carry over to the next month. I'll make them within a reasonable time, usually a few working days.
7. Your responsibilities
- Give me the text, photos, logos and information for your site, and make sure they're accurate.
- Make sure you have the right to use everything you give me, and that it doesn't break the law or anyone else's rights. You're responsible for claims arising from content you supplied.
- Keep the legal information on your site correct, such as your business details and VAT number. I can set up privacy and cookie pages for you, but you're responsible for what they say about your business.
- Reply to my questions within a reasonable time. Delays on your side can delay the launch, but your minimum term only starts once the site is live.
8. Domain names
Your domain is registered in your name, or you keep the one you already have, and it's always yours. I'll transfer it to you or any provider you choose whenever you ask, at no charge. Your proposal says whether the domain renewal fee is included in your plan.
9. Ownership
- Your content (text, photos, logos and data) is always yours.
- I keep the copyright in the design and code I create. While your plan is active, you have a licence to use them for your site.
- After the minimum term you can buy the design and code outright for a one-off fee of €500, plus VAT where due. I'll then hand over all the files so you can host the site anywhere.
- If you leave without buying them, I'll send you an export of your content, and the site will go offline at the end of the notice period.
- I may show your site in my portfolio unless you ask me not to.
10. Hosting and availability
I host your site with established providers and aim to keep it online at all times, but I can't guarantee it will never be unavailable. Planned maintenance and problems at hosting or other providers can cause short outages. I keep regular backups and will restore your site as quickly as reasonably possible if something goes wrong.
11. Personal data
If your site collects personal data from your visitors, you are the controller and I process it on your behalf. We'll sign a data processing agreement under article 28 of the GDPR together with the proposal. How I handle your own data is described in the privacy policy.
12. Liability
I'll do the work with reasonable skill and care. As far as the law allows, my total liability under the contract is limited to the fees you paid in the 12 months before the event that led to the claim, and I'm not liable for indirect losses such as lost profits or lost business. Nothing in these terms limits liability for wilful misconduct or gross negligence (art. 1229 of the Italian Civil Code), or any other liability that can't be limited by law.
13. If you're a consumer
If you sign up as a consumer, the Italian Consumer Code (Legislative Decree 206/2005) protects you, and nothing in these terms reduces those rights.
You can withdraw from a contract made at a distance within 14 days, without giving a reason, by telling me by email. If you ask me to start work during those 14 days and then withdraw, you only pay for the service provided up to that point.
Disputes are heard by the court where you live.
14. Changes to these terms
I may update these terms. Changes to an existing contract, including price changes, are sent to you by email at least 30 days before they apply, and you can cancel without penalty before they take effect.
15. Law and disputes
These terms are governed by Italian law. For business clients, the courts of Rome have exclusive jurisdiction. Before going to court, we'll both try to settle any problem by talking it through.
For business clients, the clauses on the minimum term and cancelling (section 4), suspension (section 5), ownership (section 9), liability (section 12) and jurisdiction (this section) are specifically approved in writing when the proposal is signed, as required by articles 1341 and 1342 of the Italian Civil Code.
